Aide-memoire communicated by Mr. Whitelaw Reid, December 29, 1909.

REFERRING to the negotiations for the settlement of the Hukuang loan, it has been represented to the Government of the United States that the Governinent of France would withdraw its objection to the signature of the Hukuang Loan Agree- ments provided the French group receives engineering rights on an additional 100 kilom. of the Chengtu extension. If this report is well founded, the Government of the United States is prepared to share equally with His Majesty's Government in making such sacrifice of engineering rights provided that the original and supple- mentary agreements are thereupon signed without further delay, and subject also to the following two conditions :---

1. That notwithstanding the surrender by the United States of such engineering privileges, equal rights to the American group in all matters relating to the purchase of materials for the Chengtu extension and branches are guaranteed; and

2. That a satisfactory arrangement be made for interchangeability of bonds. The Government of the United States would be glad to be informed, at as early a date as may be found convenient, whether the above proposal is acceptable to His Majesty's Government.
